Notice of Extraordinary General Assembly: Charter Amendments, Board Elections, and Organizational Liquidation Discussion
Imagine Center for Conflict Transformation registered in Tbilisi, Georgia.
On August 28, 2024, the board of the Imagine Center for Conflict Transformation, received letters from the founders (and members) of the organization requesting to hold an extraordinary (urgent) meeting of the General Assembly on September 10, 2024
The Agenda of the Meeting is as follows:
1. Amendments to the charter of the Organization. In particular, the members (founders) of the organization have offered to reduce the number of the Organization’s board members from 5
to 3 and amend Article 8.1. as follows:
“8.1. The governing body of the center is the Board of the Center consisting of three members, who are elected by the General Assembly for a term of one year. The Executive Director of the organization may also be elected as a member of the board. A person who is not present at the general meeting may be elected as a member of the Board, if there is his/her prior written consent (or request) to be elected as a member of the board.”
Amendments in other Articles of the Charter may be also initiated by the members of the organization during the General Assembly meeting.
2. Dismissal (changing) of the old Board;
3. Election of New Board Members: We will be electing new members to serve on the Board of Imagine Center for Conflict Transformation.
4. Election of a New Chairperson of the Board: Following the election of new Board members, we will proceed with the election of a new Chairperson.
5. Discussion and Decision on the Issue of Liquidation:
We will also discuss the possibility of liquidating Imagine Center for Conflict Transformation (Tbilisi). In case the General Assembly decides to liquidate the organization, it must also decide on appointing a liquidator, as well as define an entity entitled to receive the property remained after the liquidation.
